One member of our firm chaired the Limited Liability Company Committee of the Iowa State Bar Association during its formative period and we have over 400 corporations and 200 limited liability companies that we provide all legal services for and over 2,000 companies where we serve as their Iowa registered agent. We document business formation, transitions in business, contracts, employment agreements, buy and sell agreements, non-compete agreements, and merger and acquisition documentation for most of our business clients to help them obtain value from their business enterprise.
Construction Law
Dreher, Simpson and Jensen, P.C. represents clients in all aspects
of construction law. We represent design professionals, developers,
contractors, subcontractors and suppliers. Our attorneys have extensive
experience in construction disputes, including, but not limited
to, design or construction defects, delay, earth movement and job
site injury, in state and federal courts, as well as in AAA and
private arbitration proceedings.
Litigation matters include bid protests, contractor and designer
claims for extras, architect and engineer malpractice claims. We
draft contracts for owners, architects and contractors, and provide
legal advice during projects.
Employment/Labor Law
In all aspects of employee relations, Dreher, Simpson and Jensen,
P.C. represents employers of all sizes. Clients seek our proactive
advise on preventing and/or minimizing costly employment related
disputes.
In addition, we advise clients on the many issues confronting employers
in the day-to-day operation of business, including personnel policies
and issues, the Family Medical Leave Act (FMLA), the Americans With
Disability Act, workplace privacy laws, and drug testing in the
workplace. We also provide employers with representation before
courts, civil rights commissions, and arbitration panels in all
forms of disputes arising out of employment relationships, including
wrongful discharge litigation and employment discrimination litigation.
Estate Planning
The firm offers estate planning and administration services to clients
seeking to preserve, manage and transfer personal or family assets.
We perform traditional estate planning, such as estate analysis,
estate plan design to minimize unnecessary tax liability, charitable
gift planning, gifting strategies, drafting trust agreements, wills,
living wills, durable powers of attorney for health care and property
management, and standby conservatorships and guardianships. The
firm also represents corporate trustees and fiduciaries.
We provide estate and trust administration services, including preparation
of estate and fiduciary income tax returns, trust administration,
postmortem estate planning, disposition of control of closely held
businesses, fiduciary duties of trustees and estate and trust related
litigation. Attorneys are knowledgeable in representing executors,
trustees, and others before the Probate Court in probate estates,
conservatorships, guardianships, and trust actions. Our experienced
litigators also handle disputed probate proceedings, including beneficiary
disputes, will contests, trustee accountings and other proceedings.
Litigation/Dispute Resolution
Dreher, Simpson and Jensen, P.C. handles a broad range of civil
litigation matters involving all of the firm's substantive areas
of practice, with a particular emphasis on complex commercial, employment
and construction litigation. We represent our clients in all state
and federal courts, and before all state and federal administrative
agencies. Clients often seek our advice on avoidance of litigation
and assistance in the investigation, negotiation, and resolution
of disputes without filing formal litigation.
The formal litigation process is not always the most cost-effective
alternative for resolving disputes among businesses or individuals.
When appropriate, we make use of alternative dispute resolution
mechanisms in order to resolve disputes in the most cost-effective
manner possible.
Real Estate
The firm’s lawyers represent clients, including buyers, sellers,
landlords and tenants in real estate transactions, disputes and
related matters. We prepare title opinions and assist clients with
property tax appeals and zoning issues.
